Introduction

These Terms of Service ('Terms') govern your access to and use of the RungBiz B2B Platform ('Platform'), operated by Blume Co., Ltd. ('we', 'us', or 'our'). By registering for an account or using any Platform services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. User Eligibility & Registration

To use the Platform, you must meet the following requirements:

  • You must be a legally registered business entity or an authorized representative acting on behalf of a registered company.
  • You must be at least 18 years of age to create and manage an account.
  • All information provided during registration — including company name, business address, and contact details — must be accurate, current, and complete.
  • Seller accounts must submit valid KYB (Know Your Business) documents for verification. Providing falsified or fraudulent documents is grounds for immediate account termination.
  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

2. Platform Role & Scope

It is essential to understand the role of RungBiz as a service provider:

  • Matching Service: RungBiz operates exclusively as a B2B matching platform. We connect verified buyers with qualified suppliers based on product category, industry, and sourcing requirements.
  • Not a Party to Transactions: RungBiz is NOT a party to any purchase agreement, sales contract, or commercial transaction between Buyers and Sellers. All negotiations, pricing, payment terms, and delivery logistics are conducted directly between the respective parties.
  • No Product Warranty: We do not manufacture, stock, inspect, or ship any products listed on the Platform. Product quality, authenticity, and compliance with applicable regulations are the sole responsibility of the selling party.
  • Communication Facilitation: The Platform provides secure messaging tools (RFQ/Inquiry system) to facilitate initial business contact. All subsequent business dealings occur outside the Platform's direct control.

3. Prohibited Content & Conduct

The following activities and content are strictly prohibited on the Platform:

  • Fraud & Misrepresentation: Posting fake product listings, fabricating company credentials, or misrepresenting product specifications, pricing, or availability.
  • Illegal Products: Listing, advertising, or facilitating the trade of products that violate local, national, or international laws — including but not limited to controlled substances, weapons, counterfeit goods, and sanctions-restricted items.
  • Intellectual Property Infringement: Uploading trademarks, logos, product images, or descriptions that infringe on the intellectual property rights of third parties without proper authorization.
  • Spam & Harassment: Sending unsolicited bulk messages, engaging in targeted harassment of other users, or using the messaging system for purposes unrelated to legitimate B2B commerce.
  • System Abuse: Attempting to gain unauthorized access to Platform systems, scraping data without permission, deploying automated bots, or engaging in any activity that disrupts Platform infrastructure.

Violation of any of these rules may result in immediate account suspension, permanent banning, and/or referral to law enforcement authorities.

4. Fees, Payments & Commissions

The following fee structure applies to Platform users:

  • Buyer Accounts: Free. No fees for registration, browsing, searching, or sending RFQ inquiries.
  • Seller Accounts: Free to register and list basic products. No commissions are collected on external sales.
  • Optional Features (Credits): Sellers can purchase credits for Sponsored Ads or other premium features to increase visibility.
  • Premium Features: Additional premium features (priority listing, enhanced analytics, featured placement) may be available under separate subscription agreements. Current pricing is available upon request.
  • Fee Changes: We reserve the right to modify our fee structure with 30 days' advance written notice to affected users.

5. Dispute Resolution

In the event of disputes between Buyers and Sellers:

  • Direct Resolution First: Parties are strongly encouraged to resolve disputes through direct communication using the Platform's messaging tools before escalating.
  • Platform Mediation: If direct resolution fails, either party may file a formal dispute report via admin@rungbiz.com. Our team will review the case and attempt to mediate a fair resolution within 15 business days.
  • Evidence Submission: Both parties are expected to provide all relevant documentation — including order confirmations, communication records, invoices, delivery receipts, and photographic evidence of product condition.
  • Final Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under the laws of the Kingdom of Thailand, conducted in Bangkok.
  • Platform Limitation: RungBiz's maximum liability in any dispute shall not exceed the commission fees collected on the specific transaction in question.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • RungBiz provides the Platform 'as is' and 'as available' without warranties of any kind, express or implied.
  • We shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Platform.
  • We are not responsible for the quality, safety, legality, or delivery of any products listed by third-party sellers.
  • We are not responsible for the accuracy of information provided by users during registration or in their product listings.

7. Modifications & Contact

Regarding changes to these Terms:

  • We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email and through an in-platform notification at least 14 days before taking effect.
  • Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
